Public Offer Agreement

1.1. This document is an official proposal (public offer) by ФОП Владіміров Олександр Юрійович (the "Seller") to conclude a distance sale and purchase agreement through the Japan Beauty online store at https://japb.bio (the "Website") on the terms set out below.

1.2. Pursuant to Articles 633, 641, and 642 of the Civil Code of Ukraine, this agreement is a public contract, and upon acceptance of the terms below any legally capable individual (the "Buyer") undertakes to comply with them.

1.3. Placing and confirming an order on the Website constitutes acceptance of this offer. Acceptance means the Buyer has read the terms of the agreement, agrees with them in full, and accepts them unconditionally.

1.4. The agreement concluded by acceptance of this offer is a distance contract within the meaning of the Law of Ukraine "On Electronic Commerce" and the Law of Ukraine "On Consumer Rights Protection".

2.1. "Goods" - cosmetics, skincare products, dietary supplements, and other products listed in the Website catalog.

2.2. "Order" - a duly completed request by the Buyer to purchase selected Goods, placed via the Website or by phone.

2.3. "Carrier" - Nova Poshta LLC, which delivers Orders.

2.4. "Account" - the Buyer’s personal section on the Website available after registration.

3.1. The Seller undertakes to transfer the Goods to the Buyer, and the Buyer undertakes to accept and pay for the Goods on the terms of this agreement.

3.2. Information about the Goods (description, ingredients, price, availability) is published on the Website. Product images are illustrative: packaging appearance may vary between manufacturer batches.

3.3. All Goods are original products of Japanese manufacturers purchased from official suppliers.

4.1. The Buyer places an Order on the Website by adding Goods to the cart and completing the order form (contact details, delivery, and payment method).

4.2. After placing an Order the Buyer receives a confirmation at the email address provided. The Seller may contact the Buyer to clarify Order details.

4.3. If an ordered item is unavailable, the Seller informs the Buyer and offers a replacement, an Order change, or a refund of the amount paid.

4.4. The Buyer is responsible for the accuracy of the information provided when placing an Order.

5.1. Prices are listed on the Website in Ukrainian hryvnia (UAH). The price of the Goods is fixed at the time the Order is placed and cannot be changed unilaterally by the Seller after the Order is confirmed.

5.2. The Seller may change Website prices before an Order is placed and may run promotions and offer discounts.

5.3. Payment is made by one of the following methods: (a) online card payment via LiqPay; (b) online card payment via Monobank; (c) cash on delivery at the Carrier’s branch.

5.4. For cash-on-delivery Orders the Buyer makes a 200 UAH online prepayment to confirm the Order; the balance is paid on receipt of the Goods. The Carrier’s cash-on-delivery fee is paid by the Buyer at the Carrier’s rates.

5.5. Loyalty point discounts and promo codes are applied at checkout under the terms of the relevant promotion or program.

6.1. Orders are delivered by the Carrier within Ukraine to the branch or parcel locker selected by the Buyer at checkout.

6.2. Delivery is charged at the Carrier’s rates and paid by the Buyer on receipt of the Order unless stated otherwise on the Website.

6.3. Delivery times depend on the Carrier and the region and are usually 1-3 days from dispatch. The Seller is not liable for delays caused by the Carrier.

6.4. Title to the Goods and the risk of accidental damage or loss pass to the Buyer upon receipt of the Goods from the Carrier.

6.5. On receipt the Buyer must check the integrity of the packaging and that the contents match the Order. Any damage should be documented at the Carrier’s branch and reported to the Seller.

7.1. The Buyer may return or exchange Goods of proper quality within 14 days of receipt in accordance with the Law of Ukraine "On Consumer Rights Protection", provided the Goods are unused and their presentation, consumer properties, seals, and labels are preserved.

7.2. Perfumery and cosmetic goods of proper quality are not subject to return or exchange under the List approved by Resolution of the Cabinet of Ministers of Ukraine No. 172 of 19.03.1994.

7.3. If Goods of improper quality are received (damage, defect, mismatch with the Order), the Seller, at the Buyer’s choice, exchanges the Goods or refunds their price together with delivery costs.

7.5. Refunds are issued via the original payment method within 3-7 business days after the returned Goods are received and inspected.

8.1. The Seller shall: transfer Goods of proper quality in accordance with the Order; provide accurate information about the Goods; process the Buyer’s personal data in accordance with the Privacy Policy.

8.2. The Seller may: change the assortment and prices on the Website; refuse to process an Order if the Buyer provides inaccurate information or abuses consumer rights; suspend the Website for maintenance.

8.3. The Buyer shall: provide accurate information when placing an Order; accept and pay for the Order on the terms of this agreement; review the product information before ordering.

8.4. The Buyer may: demand transfer of the Goods in accordance with the Order; cancel the Order before it is dispatched; exercise the consumer rights provided by the legislation of Ukraine.

9.1. For non-performance or improper performance of this agreement the parties are liable in accordance with the current legislation of Ukraine.

9.2. The Seller is not liable for inability to fulfil an Order caused by inaccurate information provided by the Buyer, nor for the actions of the Carrier or payment services.

9.3. The Seller is not liable for individual intolerance or allergic reactions to product ingredients. Before using cosmetic products, please review the ingredients and perform a sensitivity test.

9.4. The parties are released from liability for non-performance caused by force majeure: war, martial law, natural disasters, power outages, Carrier failures, decisions of public authorities, and similar circumstances.

10.1. By placing an Order the Buyer consents to the processing of their personal data in accordance with the Law of Ukraine "On Personal Data Protection" and the Privacy Policy published on the Website.

10.2. Personal data is used solely to fulfil Orders, communicate with the Buyer, and for other purposes defined in the Privacy Policy.

11.1. The agreement enters into force upon the Buyer’s acceptance of the offer and remains in effect until the parties fully perform their obligations.

11.2. The Seller may unilaterally amend this offer. The new version takes effect upon publication on the Website and does not apply to Orders placed before its publication.

11.3. All disputes arising from this agreement are resolved through negotiations and, failing agreement, in the manner prescribed by the legislation of Ukraine.
